Apex Elite AI — 1:1 Coaching Terms of Use

1. Scope

These Terms govern all Apex Elite AI one-on-one coaching sessions purchased individually or in packages. By purchasing, scheduling, or attending a session, you agree to these Terms.

2. Payment and Refunds

Payment is due at checkout.

All payments are final. No refunds, partial refunds, or charge reversals.

Sessions are non-transferable and may not be sold or assigned to another person.

3. Scheduling and 45-Day Use Requirement

All purchased sessions must be completed within 45 calendar days of the original payment date.

Unused time after day 45 is forfeited. There are no rollovers, credits, or extensions unless expressly granted in writing by Apex Elite AI.

4. No Overlap and No Rollover

Sessions cannot be merged, combined, extended, or stacked with other promotions, credits, or offers.

Unused minutes do not carry over to a future session.

5. Rescheduling and Cancellations

You may reschedule a session one time per session with at least 24 hours’ notice.

Cancellations or reschedule requests received with less than 24 hours’ notice count as a used session.

No-shows are treated as a used session.

6. Punctuality and Session Length

Sessions start and end at the scheduled times. Late arrival does not extend the session.

If the coach is late, you will receive the full booked duration.

8. Optional Reactivation (At Our Sole Discretion)

After expiration, Apex Elite AI may, at its sole discretion, offer a one-time reactivation for a fee and a short use window.

Reactivation is not guaranteed and is not a credit or refund.

9. Recordings and Materials

Recording requires mutual consent. If permitted, recordings are for your personal use only and may not be shared publicly.

All frameworks, worksheets, and training materials remain the intellectual property of Apex Elite AI and are licensed to you for personal, non-commercial use.

10. Professional Boundaries and Conduct

Coaching is not legal, tax, medical, financial, or mental-health advice. You are responsible for your decisions and outcomes.

Apex Elite AI may refuse or terminate a session for unprofessional conduct without refund.

11. Chargebacks

Initiating a chargeback violates these Terms. You agree to first contact Apex Elite AI to resolve any billing concerns.

12. Confidentiality

Each party agrees to keep the other’s non-public information confidential, except where disclosure is required by law.

13. Limitation of Liability

To the maximum extent allowed by law, Apex Elite AI’s total liability for any claim is limited to the amount you paid for the specific session or package in the 90 days preceding the claim. No special or consequential damages.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Colorado. Venue is in Denver County, Colorado.

15. Changes to Terms

Apex Elite AI may update these Terms for future purchases. Updates do not retroactively change past purchases unless agreed in writing.

17. Complimentary Apex Elite AI Access (During Coaching Month)

As a courtesy, you receive temporary access to the Apex Elite AI platform (community, select courses, and live calls) only during your Active Coaching Month.

Active Coaching Month = the 30-day period that begins on the date of your first scheduled 1:1 session in a package (not the purchase date). If you schedule multiple sessions, access still ends at the close of that 30-day window unless otherwise agreed in writing.

When your coaching ends, continued access requires a paid Apex Elite AI membership. If you do not enroll, your temporary access will be terminated 10 calendar days after your final coaching appointment.

This courtesy access does not extend or modify the 45-day session completion requirement (Section 3) and does not roll over, pause, or restart for reschedules.

Access is for the purchasing client only, non-transferable, and subject to Apex Elite AI community standards. Abuse or unauthorized sharing is grounds for immediate removal.
